翻译英文保密协议时的注意事项
确认信息由一方披露还是双方相互披露
单方披露信息的协议（Unilateral NDA）与双方相互披露的协议（Mutual NDA），承担义务的当事人不同。日文“甲”“乙”的英文称谓（Disclosing Party／Receiving Party、公司简称等）也应据此确定。
全文统一已定义术语的英文写法
如Confidential Information、the Purpose等已定义术语，通常将首字母大写并在全文保持一致。中途改写为information或purpose，可能使读者无法确定是否指已定义的术语。
区分shall与may的译法
英文合同通常以shall表示义务、may表示权利或许可。翻译时须核对“必须”“不得”“可以”的区别，避免混淆。
确定以哪种语言版本为准
日语版和英语版均需签署时，通常会在合同中约定，出现不一致时以哪个版本为准。详情参见合同翻译注意事项。
使用英文范本前应确认的事项
网上的英文保密协议范本，不少是以日本以外的法律为基础编写的。日本公司使用时，至少应确认以下事项。
- 适用哪国法律，由哪个法院管辖
- 保密信息的范围是否涵盖实际交易中交换的信息（例如是否包括口头信息）
- 合同结束后保密义务持续多少年
- 同时制作日语版时，以日语版还是英语版为准
